The paperwork is the easy part.
Most formation services file it and disappear. We are a company secretarial practice — the returns, registers and deadlines that come after are what we do all year.
You can file it yourself. Here’s what the form won’t tell you.
- A sole director cannot also be the secretary.
Section 129(6) of the Companies Act 2014 says so, and it catches most single-director companies on day one.
- One of your directors has to live in the EEA.
If none of them does, you’ll need a €25,000 bond under section 137 before you can file, or a section 140 certificate instead.
- A name with no match today still isn’t yours.
Under section 26 the Registrar can refuse any name they consider undesirable, and for six months after you’re incorporated can still make you change it.
We check all three before anything goes to the CRO.
